These Terms of Service ("Terms") constitute a legally binding agreement between you and SoundSource ("we," "us," "our," or "Company"). By accessing, browsing, or using the SoundSource application, website, and associated services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
If you do not agree with any part of these Terms, do not use the Service. Your continued access to or use of the Service after any modification to these Terms constitutes your acceptance of the modified Terms.
You represent and warrant that: (a) you are at least 13 years of age (or the age of digital consent in your jurisdiction, whichever is greater); (b) you have the right and authority to enter into this agreement; and (c) you will comply with all applicable laws and regulations in your jurisdiction.
"User Content" means any voice recordings, transcriptions, text, images, or other data you upload, create, or transmit using the Service.
"Service" includes the SoundSource application (web and mobile), website, APIs, and all related services, features, and functionality.
"Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, and other intellectual property rights, whether registered or unregistered.
"AI Models" means the artificial intelligence and machine learning models used to process, transcribe, and analyze audio content.
SoundSource is an AI-powered platform that enables users to: (a) record audio and voice content; (b) automatically transcribe speech to text using advanced artificial intelligence; (c) organize and manage recordings and transcriptions; (d) search and access transcribed content; and (e) export data in various formats.
The Service is provided on an "as-is" and "as-available" basis. We make no warranty regarding the uninterrupted availability, accuracy, or performance of the Service. AI transcription accuracy may vary based on audio quality, language, accents, and background noise.
We reserve the right to modify, suspend, or discontinue the Service (or any portion thereof) with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
To access premium features, you must create an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain the confidentiality of your account credentials; (c) promptly update your account information; and (d) notify us immediately of any unauthorized account access or use.
You are solely responsible for all activities conducted under your account. We are not responsible for any unauthorized use of your account due to your failure to safeguard your credentials. You agree to monitor your account regularly and report any suspicious activity immediately.
You may not share your account credentials with others or use another person's account without authorization. One account per person is permitted unless otherwise authorized by SoundSource.
You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable laws. You expressly agree NOT to:
All content, design, functionality, and software comprising the Service, including but not limited to the AI Models, algorithms, documentation, graphics, logos, and user interface, are the exclusive property of SoundSource or its licensors and are protected by international copyright, trademark, and patent laws.
You retain all ownership rights to User Content you create or upload. However, by using the Service, you grant SoundSource a non-exclusive, worldwide, royalty-free license to: (a) process, store, transmit, and display your User Content for the purpose of providing the Service; (b) improve our AI Models; and (c) aggregate and analyze your data in anonymized form for research and service improvement.
You may not copy, modify, adapt, translate, publicly perform, publicly display, or otherwise reproduce any part of the Service without our prior written consent. Any unauthorized use constitutes infringement of our Intellectual Property Rights.

SoundSource offers paid subscription plans with a 3-day free trial for new users. All plans require payment of subscription fees as published on our website after the trial period ends.
Free Trial: New users receive a 3-day free trial. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged.
Billing and Renewal: Your subscription renews automatically on the renewal date unless you cancel. You authorize us to charge your payment method for all fees and charges. All fees are exclusive of applicable taxes, which will be added if required by law.
Refund Policy: All subscription fees are non-refundable except as required by applicable law. However, if you cancel within 3 days of initial purchase and have not materially used the premium features, we may issue a refund at our discretion.
Price Changes: We reserve the right to modify subscription fees with 30 days' notice to existing subscribers. Changes will not apply to current billing cycles but will take effect on the next renewal date.
Cancellation: You may cancel your subscription at any time through your account settings. Your cancellation is effective at the end of your current billing period. Cancellation does not entitle you to a pro-rata refund for any unused portion of the billing period.
DISCLAIMER OF WARRANTIES: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT.
We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) AI transcriptions will be 100% accurate; (c) any defects will be corrected; or (d) the Service will meet your specific requirements.
You assume all risks and responsibilities for your use of the Service. Some jurisdictions do not permit the disclaimer of implied warranties, so the above disclaimer may not fully apply to you.
LIMITATION OF DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOUNDSOURCE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
MAXIMUM LIABILITY CAP: IN NO EVENT SHALL SOUNDSOURCE'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID (IF ANY) FOR THE SERVICE DURING THE TWELVE MONTHS PRECEDING THE CLAIM. IF YOU HAVE NOT PAID ANYTHING, THE LIABILITY CAP IS USD $100 OR THE EQUIVALENT IN YOUR LOCAL CURRENCY.
Some jurisdictions do not permit limitations on liability, so these limitations may not fully apply to you. In such cases, liability will be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless SoundSource and its affiliates, officers, directors, employees, agents, licensors, and partners from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) your User Content.
You are responsible for maintaining backups of your User Content. We retain User Content as necessary to provide the Service and comply with legal obligations. You may delete your User Content at any time through your account settings, and we will delete it within 30 days (with the exception of backups, which may persist for up to 90 days).
Upon account deletion, all associated User Content will be deleted within 30 days, except where retention is required by law. Deleted content cannot be recovered, so please ensure you have downloaded any important data before deletion.
We reserve the right to suspend or terminate your account, access, and use of the Service, with or without notice, if: (a) you violate these Terms; (b) you engage in illegal activity; (c) your conduct is harmful to other users or the Service; (d) you fail to pay subscription fees; or (e) we are required to do so by law.
Upon suspension or termination, your right to access the Service terminates immediately. You remain responsible for any fees owed. Provisions of these Terms that should survive termination (such as Limitation of Liability, Indemnification, and Governing Law) will continue to apply.
If suspension or termination is due to your violation of these Terms, we may withhold access to your User Content. If termination is at our discretion without cause, you may request download of your User Content within 30 days of termination.
The Service may contain links to third-party websites, services, and content. We do not endorse or assume responsibility for any third-party content, services, or privacy practices. Your interactions with third-party services are solely between you and the third party.
If you access third-party services through the Service (such as payment processors), you must review and agree to their terms and privacy policies. We are not liable for any loss or damage resulting from your use of third-party services.
Informal Resolution: Before initiating formal legal proceedings, you and SoundSource agree to attempt to resolve any dispute through informal negotiation. Either party may initiate resolution discussions by sending written notice to the other party.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles. Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts located in Port Harcourt, Nigeria, and both parties irrevocably consent to the personal jurisdiction of such courts.
The Service may be subject to international export control laws. You agree not to use the Service in violation of export laws, including but not limited to restrictions on accessing the Service from certain countries or for certain purposes. You acknowledge that the Service may not be available in all jurisdictions.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Your continued use of the Service after modifications constitutes acceptance of the modified Terms.
We encourage you to review these Terms regularly. If you do not agree with modifications, you should discontinue use of the Service.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Sections that by their nature should survive termination (such as Limitation of Liability, Indemnification, Intellectual Property, and Governing Law) shall survive any termination or expiration of these Terms.
These Terms, together with our Privacy Policy and any other policies or terms referenced herein, constitute the entire agreement between you and SoundSource regarding your use of the Service and supersede all prior negotiations, understandings, and agreements.
